Legal Officer/ Corporate Secretary - Bank in Sierra Leone

REPORTING TO: MANAGING DIRECTOR AND BOARD OF DIRECTORS

 

GENERAL DUTIES

  • Fulfils all Company Secretarial Duties

  • Carries out Legal Counsel Functions. (These duties do not include litigation).

  • Has responsibility for all Legal related activities in the Bank including compliance and regulatory requirements.

  • Acts as Legal Advisor to the Board of Directors for all and any bank matters, Managing Director, Management, and all Departments in the Bank on a variety of legal and financial issues and has significant level of contact for opinion with Shareholders, Directors and Parent Company.

 

Experience: Private Commercial Practice

 

Specific Duties include:-

  • Provision of effective Company Secretarial services for the Bank and its subsidiaries.

  • Ensure that the operations of the bank and subsidiaries are carried out in conformity with relevant laws, rules and procedures

  • Provide legal advisory services to the bank

  • Ensure minimum lawsuits and fines

  • Ensure bad and doubtful debts are effectively managed and controlled

  • Manage the Bank’s Insurance Portfolio

  • Ensure compliance with covenants in various Agreements, Arrangements, Standard and Non-Standard Banking and Financial Services Documents.

  • Watching Briefs when outside Solicitors are involved in litigation for and/or against the Bank.

  • Any other duties that are legally related as directed by the Managing Director.

 

Minimum Qualification:

 

  • Qualifying/Practicing Certificate in Laws         

  • First Degree (LLB)                                                               

  • Professional Qualification (BL – Bachelor of Laws)

  • Membership: Member of Bar Association Locally (mandatory) and Internationally (advantageous)
